Schwartz Center Terms of Use

This Terms of Use Agreement (these “Terms of Use” or “Terms”) constitute a binding legal contract between you (“you” or “your” either an individual or a legal entity) and the Schwartz Center for Compassionate Healthcare, an autonomous, nonprofit organization operating under the auspices of The Massachusetts General Hospital, a 501(c)(3) non-profit organization (the “Schwartz Center”, “we”, “us”, or “our”). These Terms of Use govern your access to and use of the web sites, media, platforms, forums, portals, and any other online services offered by Schwartz Center including without limitation https://www.theschwartzcenter.org/ web sites and any media, software, programs, services, tools, features, databases, materials, content, features, products, platforms, forums, portals, or information available or sold on or through it or used in connection therewith (collectively, the “Services”). Your use of the Services is subject to these Terms and our Community Guidelines. If you do not agree to these Terms, you are not authorized to use the Services.

Your use of the Services may also be subject to a membership agreement between you (or the organization that you are employed by or affiliated with). In the event of any conflict between these Terms and your membership agreement, your membership agreement shall control

Schwartz Center may amend these Terms at any time by posting revised Terms on the Services. Any such amendment or revision is effective on the date of posting. Your continued use of the Services and any Schwartz Center Materials after the date of such posting shall constitute your agreement to the revised terms.

  1. Right to Use. Subject to these Terms, you are authorized to access the Services and use the Services and if permitted and as applicable, all information and content thereon (the “Schwartz Center Materials”), and Schwartz Center hereby grants you a non-exclusive, worldwide, royalty-free, limited, revocable right to use the Schwartz Center Materials for non-commercial purposes. Note that access to and use of certain Services and Schwartz Center Materials is limited to employees of healthcare organizations that have an active membership with Schwartz Center and subject to additional terms in the applicable membership agreement.
  2. Restrictions. The license granted in Section 1 is subject to the following restrictions. Except as expressly permitted under these Terms, you shall not:
    • sell, lease, rent or distribute the Schwartz Center Materials or copies thereof;
    • share, distribute, or otherwise provide access to the Schwartz Center Materials or the Services to any third parties;
    • permit the Schwartz Center Materials to be copied or modified or otherwise used in contravention of any law;
    • use the Schwartz Center Materials to create any derivative works or other works therefrom without the prior written consent of Schwartz Center; or
    • exercise any of the rights granted herein in any manner that is primarily intended for or directed toward commercial or for-profit advantage or private monetary compensation.
  3. No Medical Advice. We do not offer medical advice. Any content accessed through the Services is for informational purposes only and should not be considered medical advice. This content should not be used during a medical emergency or for the diagnosis or treatment of any medical condition. We do not provide medical services, diagnosis, treatment, or advice. Nothing contained in or made available through the Services is intended to constitute the practice of medicine or the provision of medical care or to otherwise create a patient-healthcare provider relationship between us and you. The information provided is not a substitute for the advice of a personal physician or other qualified healthcare provider. Do not ignore or delay obtaining professional medical advice because of information accessed through the Services. Call 911 or your doctor for all medical emergencies oremotional or psychological distress. WE ARE NOT RESPONSIBLE OR LIABLE FOR ANY ADVICE, COURSE OF TREATMENT, DIAGNOSIS OR ANY OTHER INFORMATION, SERVICES OR PRODUCTS THAT YOU MAY OBTAIN THROUGH THE SERVICES.
  4. Your Account and Your Use of the Services. You must provide accurate and complete registration information any time you register to use the Services. It is your responsibility to provide us with true, accurate and complete e-mail address, contact, and other information related to your account(s), and to maintain and update promptly any changes in this information. You are responsible for maintaining the confidentiality and security of your password and account, and you are fully responsible for all activities that occur under your password or account. Your username and password may not be used by any other person. You agree to (a) immediately notify us of any unauthorized use of your password or account or any other breach of security, and (b) ensure that you exit from your account at the end of each session. We shall not be liable for any loss or damage arising from your failure to comply with any of these Terms.

    Your use of the Services and any Schwartz Center Materials or other content accessed through the Services must comply with all applicable laws, regulations and ordinances. You must be at least 18 years old to register and use the Services. You may not interfere with or disrupt the proper operation of the Services

    By providing us with your email address and other contact information, you consent to our using such contact information to send you Services-related notices, including any notices required by law, in lieu of communication by postal mail. We may also use your email address or phone number to send you other messages, such as changes to features of the Services and other information about our organization.

  5. User Content. Some areas of the Services allow users to submit, post, display, provide, or otherwise make available content such as profile information, contact information, photos, user forum features, comments, questions, and other content or information (any such materials a user submits, posts, displays, provides, or otherwise makes available on the Services is referred to as “User Content”).

    We claim no ownership rights over User Content created by you. The User Content you create remains yours. However, you understand that if portions of the Services allow other users to view, edit, share, and/or otherwise interact with your User Content, by providing or sharing User Content through the Services, you agree to allow others to view, edit, share, and/or interact with your User Content in accordance with your settings and this Agreement. We have the right (but not the obligation) in our sole discretion to remove any User Content that is on or is shared via the Services.

    By submitting, posting, displaying, providing, or otherwise making available any User Content on or through the Service, you expressly grant, and you represent and warrant that you have all rights necessary to grant, to us a royalty-free, sublicensable, transferable, perpetual, irrevocable, non-exclusive, worldwide license to use, reproduce, modify, publish, list information regarding, edit, translate, distribute, syndicate, publicly perform, publicly display, and make derivative works of all such User Content and your name, voice, and/or likeness as contained in your User Content, in whole or in part, and in any form, media or technology, whether now known or hereafter developed, for use in connection with the Services and our (and our successors’ and affiliates’) business, including without limitation for promoting and redistributing part or all of the Services (and derivative works thereof) in any media formats and through any media channels. You also hereby grant each user of the Services a non-exclusive right to access your User Content through the Services, and to use, reproduce, distribute, display and perform such User Content as permitted through the functionality of the Services and under these Terms.

    For the purposes of these Terms, “Intellectual Property Rights” means all patent rights, copyright rights, mask work rights, moral rights, rights of publicity, trademark, trade dress and service mark rights, goodwill, trade secret rights and other intellectual property rights under the laws of any state, country, territory or other jurisdiction.

    In connection with your User Content, you affirm, represent and warrant the following:

    • You have the written consent of each and every identifiable natural person in the User Content, if any, to use such person’s name or likeness in the manner contemplated by the Services and these Terms, and each such person has released you from any liability that may arise in relation to such use.
    • You have obtained and are solely responsible for obtaining all consents as may be required by law to post any User Content relating to third parties.
    • Your User Content and our use thereof as contemplated by these Terms and the Services will not violate any law or infringe any rights of any third party, including but not limited to any Intellectual Property Rights and privacy rights.

    To the best of your knowledge, all your User Content and other information that you provide to us is truthful and accurate.

    We take no responsibility and assume no liability for any User Content that you or any other user or third-party posts, sends, or otherwise makes available via the Services. You shall be solely responsible for your User Content and the consequences of posting, publishing it, sharing it, or otherwise making it available via the Services, and you agree that we are only acting as a passive conduit for your online distribution and publication of your User Content. You understand and agree that you may be exposed to User Content that is inaccurate, objectionable, inappropriate for children, or otherwise unsuited to your purpose, and you agree that we shall not be liable for any damages you allege to incur as a result of or relating to any User Content.

  6. Interactions with Other Users. If the Services permits interaction with other users, you are solely responsible for such interactions. We reserve the right, but have no obligation, to monitor disputes between you and other users. We shall have no liability for your interactions with other users, or for any user’s action or inaction.
  7. Personal Information/Privacy Policy. If you provide personal information in connection with the Services, we will only use that information as permitted by the Privacy Policy and as permitted by applicable law.
  8. Acceptable Use. You agree not to engage in any of the following prohibited activities in connection with your use of the Schwartz Center Materials, the Services and/or any features or functions therein: (i) copying, distributing, or disclosing any part of the Schwartz Center Materials or the Services in any medium, including without limitation by any automated or non-automated “scraping”; (ii) using any automated system, including without limitation “robots,” “spiders,” “offline readers,” etc., to access the Services in a manner that sends more request messages to our servers than a human can reasonably produce in the same period of time by using a conventional online web browser; (iii) transmitting spam, chain letters, or other unsolicited email; (iv) attempting to interfere with, compromise the system integrity or security or decipher any transmissions to or from the servers running the Services; (v) taking any action that imposes, or may impose at our sole discretion an unreasonable or disproportionately large load on our infrastructure; (vi) uploading invalid data, viruses, worms, or other software agents through the Services; (vii) collecting or harvesting any personally identifiable information, including account names, from the Services; (viii) using the Services for any commercial solicitation purposes; (ix) impersonating another person or otherwise misrepresenting your affiliation with a person or entity, conducting fraud, hiding or attempting to hide your identity; (x) interfering with the proper working of the Services; (xi) accessing any content on the Services through any technology or means other than those provided or authorized by the Services; or (xii) bypassing the measures we may use to prevent or restrict access to the Services, including without limitation features that prevent or restrict use or copying of any content or enforce limitations on use of the Services or the content therein, including without limitation the Schwartz Center Materials.

    You agree not to post User Content that: (i) may create a risk of harm, loss, physical or mental injury, emotional distress, death, disability, disfigurement, or physical or mental illness to you, to any other person, or to any animal; (ii) may create a risk of any other loss or damage to any person or property; (iii) seeks to harm or exploit children by exposing them to inappropriate content, asking for personally identifiable details or otherwise; (iv) may constitute or contribute to a crime or tort; (v) contains any information or content that we deem to be unlawful, harmful, abusive, racially or ethnically offensive, defamatory, infringing, invasive of personal privacy or publicity rights, harassing, humiliating to other people (publicly or otherwise), libelous, threatening, profane, obscene, pornographic, or otherwise objectionable; (vi) contains any information or content that is illegal (including, without limitation, the disclosure of insider information under securities law or of another party’s trade secrets); (vii) contains any information or content that you do not have a right to make available under any law or under contractual or fiduciary relationships; or (viii) contains any information or content that you know is not correct and current. We reserve the right, but are not obligated, to reject and/or remove any User Content that we believe, in our sole discretion, violates any of these provisions.

  9. Reservation of Rights. All rights not expressly granted by Schwartz Center in these Terms are reserved by Schwartz Center and its licensors.
  10. Updates. Schwartz Center may remove, update, improve or amend the Schwartz Center Materials and may (but is under no obligation to) make available such updated, improved or amended Schwartz Center Materials via the Services free of charge. Any such updated, improved or amended Schwartz Center Materials are subject to these Terms and are deemed to be a part of the Schwartz Center Materials.
  11. Other License Terms. Schwartz Center reserves the right to release the Schwartz Center Materials under different license terms, including commercial terms, or to stop distributing the Schwartz Center Materials at any time.
  12. Links to Other Websites. From time to time the Services may also include links to other websites. These links are provided for your convenience to provide further information. They do not signify that we endorse the website(s). We have no responsibility for the content of the linked website(s).
  13. Intellectual Property Rights. You acknowledge that any and all Intellectual Property Rights subsisting in or used in connection with the Services and the Schwartz Center Materials are and shall remain the property of Schwartz Center or its licensors, and you shall not at any time (including after termination of the license granted herein) in any way dispute, challenge, or undertake any action directly or indirectly that would be inconsistent with the ownership thereof by Schwartz Center or its licensors.
  14. Feedback. If you provide to us any ideas, proposals, suggestions or other materials (“Feedback”), whether related to the Services, the Schwartz Center Materials, or otherwise, you hereby acknowledge and agree that such Feedback is not confidential, and that your provision of such Feedback is gratuitous, unsolicited and without restriction, and does not place us under any fiduciary or other obligation.
  15. Termination. Unless otherwise agreed to in writing by us, we may terminate your license to the Services and the Schwartz Center Materials at any time with or without notice to you. We may, at our option, post a notice of termination on the Services, effective as of the date of posting.
  16. Warranty Disclaimer. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SCHWARTZ CENTER OFFERS THE SERVICES AND SCHWARTZ CENTER MATERIALS “AS-IS” AND MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND CONCERNING THEM, EXPRESS, IMPLIED, STATUTORY OR OTHERWISE, INCLUDING, WITHOUT LIMITATION, WARRANTIES OF TITLE, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NONINFRINGEMENT, OR THE ABSENCE OF LATENT OR OTHER DEFECTS, ACCURACY, OR THE PRESENCE OF ABSENCE OF ERRORS, WHETHER OR NOT DISCOVERABLE.
  17. LIMITATION OF LIABILITY. EXCEPT TO THE EXTENT REQUIRED BY APPLICABLE LAW, IN NO EVENT WILLSCHWARTZ CENTER OR ITS LICENSORS BE LIABLE TO YOU UNDER ANY LEGAL THEORY FOR ANY (A) SPECIAL, INCIDENTAL, CONSEQUENTIAL, PUNITIVE OR EXEMPLARY DAMAGES ARISING OUT OF THESE TERMS OR THE USE OF THE SERVICES OR SCHWARTZ CENTER MATERIALS, EVEN IF SCHWARTZ CENTER OR ITS LICENSORS HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, OR (B) DIRECT DAMAGES IN EXCESS OF ONE HUNDRED DOLLARS ($100).
  18. Indemnity. You agree to fully indemnify and hold harmless Schwartz Center and our licensors from and against any third-party claims, demands, suits, losses, damages, costs and expenses (including attorneys’ fees and court costs) arising from or relating to your use of the Services or Schwartz Center Materials.
  19. General. (a) You shall not assign or sub-license any of the rights and obligations under these Terms without the express prior written consent of Schwartz Center. Any assignment in contravention of this paragraph will be void. (b) Failure or neglect by Schwartz Center to enforce at any time any of the provisions hereof shall not be construed nor shall be deemed to be a waiver of Schwartz Center’s rights hereunder nor in any way affect the validity of the whole or any part of these Terms nor prejudice Schwartz Center’s rights to take subsequent action. (c) The headings contained herein are for convenience only and are not intended to be part of or to affect the meaning or interpretation of any of the terms and conditions of these Terms. (d) In the event that any of these terms, conditions or provisions shall be determined by any court of competent jurisdiction to be invalid, unlawful or unenforceable to any extent, such term, condition or provision shall to that extent be severed from the remaining terms, conditions and provisions which shall continue to be valid to the fullest extent permitted by law. (e) These Terms shall be construed in accordance with the laws of Massachusetts irrespective of any choice of law provisions. (f) You agree to submit to the exclusive jurisdiction of Massachusetts state and federal courts with respect to any dispute arising out of these Terms and hereby irrevocably waive, to the fullest extent permitted by applicable law, any objection which you may now or hereafter have to the laying of venue of any such proceeding brought in such a court and any claim that any such proceeding brought in such a court has been brought in an inconvenient forum. You hereby irrevocably waive any and all rights to trial by jury in any legal proceeding arising out of or relating to these Terms. (g) Except for any membership agreement between you and Schwartz Center, these Terms contain the entire agreement between Schwartz Center and you with respect to the Services and Schwartz Center Materials and supersede any prior oral or written agreements, understandings, commitments or representations between Schwartz Center and you.
